Interior Design Consulting Agreement
This Interior Design Consulting Agreement ("Agreement") is made and entered into between Client’s Name as Signed (“Client”) and Kaden Scott Neste Consulting DBA Minor Details.
Consultation Services
Minor Details offers a comprehensive range of interior design services including but not limited to:
Design consultation
Concept development
Space planning
Architect & builder collaboration
Project coordination
Material finish & selection
Color consultation & palettes
Paint palette coordination & custom finish referral
Wall covering & installation referral
Lighting design & product sourcing
Plumbing products & bath accessories
Flooring, carpets, wood, tile & luxury vinyl
Designer fabric sourcing & palette building
Custom cabinetry design & specification
Art, accessories & decorative detail
Implementation Coordination & Provider Collaboration
The Designer is not personally responsible for the implementation of the design plan. However, the Designer shall be available to answer questions or provide guidance, foster communication and collaboration with other service providers such as general contractors, sub-contractors, installers, materials providers, product providers and the design team as identified by the Designer and Client(s). The Designer is not a general contractor or architect but may be able to recommend and connect Clients to local service providers in the design / build community. The Designer holds no responsibility for service provider relationships or agreements with providers outside of Scott Neste Consulting, DBA Minor Details.
Hour of Operation
Minor Details is available project related work by appointment Monday through Friday 9AM - 6PM. A limited number or Saturday hours may be available upon request. Evening hours may be available upon request. Minor Details is closed on Sundays. Client communication including but limited to phone calls, email, voicemail, text message, WhatsApp messaging or in written form is answered only during standard business hours. We do our best to respond to clients within three business days.
Compensation
All design time related to the assigned projects and scopes is considered billable time.
The current fee is $200 per billable hour, billed as “Project Coordination” in 15 minute increments.
All travel time over 15 minutes related to the project on any given date is billable time.
Examples or Project Coordination as billable time includes but is not limited to:
In-person, telephone, virtual and written meetings; email, voicemail and written communication; virtual or in-person collaboration with clients, service providers, contractors, builder, installers, architects and other trade professionals; product sourcing and specification; travel time over 15 minutes / day; and project specific activities as stated in the Consultation Services section above.
Invoicing & Payment
Electronic invoicing is typically provided between the 1st and 5th of each month via email provided by the Client.
Payment in full is due 10 days from the invoice date.
Clients can “View & Pay” invoices online via our electronic accounting and billing system.
Acceptable payment forms include: online payments via debit and credit card; ACH bank transfer; personal or professional check made out to Kaden Scott Neste via mail, FedEx or other courier services.
Minor Details does not accept payment forms outside the listed options above.
Minor Details does not accept retainers at this time.
Termination
Either party may terminate this Agreement at any time by giving written notice to the other party. In the event of termination, the Client shall pay the Designer for all services provided up to the date of termination.
Confidentiality
The Designer shall maintain the confidentiality of all information provided by the Client and shall not disclose such information to any third party without the Client's prior written consent.
Intellectual Property
The Designer shall retain all intellectual property rights related to any work created under this Contract. The Designer shall have the right to use project photographs for the purposes of project illustration, project collaboration and for online media and marketing. The Designer will not otherwise sell or distribute project photographs without the Client’s written permission.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Washington. Any dispute arising under or in connection with this Contract shall be resolved by arbitration in accordance with the rules of the American Arbitration Association.
Entire Agreement
This Contract constitutes the entire agreement between the parties and supersedes all prior understandings, whether written or oral.
Amendment
This Contract may be amended only in writing signed by both parties.
